Subscriber Agreement
Version 1.2. This Agreement is between Lift Real Estate, LLC, doing business as QTR Analytics, and the organization whose authorized user accepts it.
1. Agreement and access
The person accepting confirms they are at least 18 and authorized by the subscribing organization (Subscriber) to accept these terms. Each user must accept before entering a protected workspace.
QTR gives Subscriber and its authorized users a limited, nonexclusive, nontransferable right to use QTR for Subscriber’s internal multifamily ownership, asset-management, operating, analytical, and reporting purposes. Subscriber controls its users and must remove access that is no longer authorized.
2. Customer Data
Customer Data means information Subscriber or its users upload, connect, enter, or generate through QTR, including property, financial, lease, resident, vendor, employee, work-order, debt, tax, insurance, and reporting information. Subscriber owns Customer Data.
Subscriber permits QTR to host, copy, transmit, organize, reconcile, analyze, display, and otherwise process Customer Data only to provide, secure, support, troubleshoot, maintain, and improve the Services. Subscriber confirms it has the rights and lawful authority needed to provide the data and instruct QTR to process it.
QTR will not sell Customer Data, use it for third-party targeted advertising, or authorize it to train a general-purpose model for unrelated third parties without Subscriber’s separate written permission.
3. Data processing and security
For personal information in Customer Data, Subscriber is generally the controller or business and QTR is the processor or service provider. QTR processes that information for the Services, Subscriber instructions, security, support, and legal obligations.
QTR uses reasonable administrative, technical, and organizational safeguards; limits access to people and providers who need it; reasonably assists with verified privacy requests; and will notify Subscriber without undue delay after confirming unauthorized access to Customer Data. No service is perfectly secure.
4. Confidentiality
Each party will use the other party’s nonpublic business, technical, financial, security, or customer information only for the Services, protect it with reasonable care, and disclose it only to people and providers who need it and are required to protect it.
Confidential Information excludes information that is public without breach, already lawfully known without restriction, lawfully received from another source, or independently developed. Legally required disclosure is permitted after notice where law allows.
5. User Rules
Users must use their own accounts, protect credentials, access only assigned data, use QTR lawfully, review source evidence and outputs before relying on them, keep protected data confidential, and promptly report suspected misuse.
Users must not bypass security, introduce malware, scrape protected data, upload data they lack authority to use, discriminate using a protected characteristic or unlawful proxy, or use QTR as an automated decision-maker for housing eligibility, renewal, eviction, deposit, resident-specific rent, credit, employment, or a similarly significant individual outcome.
Do not upload Social Security numbers, government ID numbers, full payment-card data, bank or resident login credentials, medical or biometric data, consumer reports, background checks, criminal history, or children’s data without QTR’s prior written approval. Do not coordinate rents or strategy with competitors or submit a competitor’s current nonpublic sensitive information without lawful authority and QTR’s written approval.
6. Analytics, AI, and decisions
QTR may generate analytics, summaries, recommendations, projections, and reports. Enabled AI features may send a limited evidence packet or selected content through OpenRouter to a configured model provider. Outputs may be incomplete or inaccurate and require human review.
QTR provides decision support, not legal, tax, accounting, investment, lending, appraisal, brokerage, tenant-screening, consumer-reporting, or property-management advice. Subscriber remains responsible for business, pricing, housing, and external reporting decisions and must make rent, concession, lease-term, and inventory decisions independently.
7. Ownership and service changes
QTR and its licensors own the Services, software, design, methods, workflows, templates, documentation, and related intellectual property. Subscriber may use its QTR reports for its internal business, lenders, investors, auditors, and professional advisers.
QTR may improve, change, suspend, or discontinue the Services. QTR may suspend access to address a security threat, unlawful use, or a serious violation of these terms.
8. Ending access, retention, and deletion
Subscriber may stop using QTR or ask QTR to deactivate access. QTR may end access for a material breach not cured within 15 days after notice, or immediately for unlawful use or a serious security threat.
QTR normally retains Customer Data after cancellation or deactivation so Subscriber can reactivate later. QTR does not promise a post-cancellation data export.
A verified account owner may request Customer Data deletion by emailing [email protected]. After verifying identity and authority, QTR will delete Customer Data from active systems within 30 days. Protected backups may retain copies until overwritten in the ordinary backup cycle. QTR may retain limited acceptance, security, support, and legal records as reasonably necessary.
9. Disclaimers and liability
THE SERVICES AND OUTPUTS ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, QTR DISCLAIMS IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. QTR DOES NOT PROMISE ERROR-FREE OPERATION OR A PARTICULAR FINANCIAL, OPERATING, PRICING, HOUSING, OR INVESTMENT RESULT.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES OR LOST PROFITS, REVENUE, OR GOODWILL. EACH PARTY’S TOTAL LIABILITY ARISING FROM THE SERVICES WILL NOT EXCEED THE GREATER OF FEES SUBSCRIBER PAID QTR DURING THE SIX MONTHS BEFORE THE EVENT OR $500. This limit does not apply to fraud, willful misconduct, or liability the law does not permit the parties to limit.
10. General
QTR may update this Agreement with reasonable notice and will require renewed acceptance for a material change to payment, data, dispute, or user obligations. The parties are independent contractors. Colorado law governs, and state or federal courts in Denver, Colorado have exclusive jurisdiction. Electronic acceptance is effective.
Notices to QTR must be sent to [email protected]. QTR may send notices to the account owner’s email or through the Services.
